Welcome to Kihealth. These Terms and Conditions ("Terms") govern your use of www.Kihealth.com (the "Site") and all products, services, and diagnostic tests offered by Ki Health Inc. ("Kihealth," "we," "us," or "our"). By accessing the Site, creating an account, or purchasing any of our diagnostic tests, you agree to be bound by these Terms. If you do not agree, please discontinue use of the Site immediately.

1. About Kihealth

Kihealth is a healthcare diagnostics company headquartered at 559 W Twincourt Trail, Unit 604, Saint Augustine, Florida 32095. We offer a portfolio of at-home diagnostic tests — including our Diabetes Risk Test, Metabolic Health Test, Gut Health Tests (Gut Basics and Gut Advanced), Optimal Health Test, and Sleep & Stress Test — all processed through CLIA-certified, COLA-accredited laboratories. Our tests are designed to provide actionable health insights; they are not intended to diagnose, treat, cure, or prevent any disease in the clinical sense.

2. Eligibility

You must be at least 18 years of age to purchase or use our Services. By using the Site or purchasing a test, you represent and warrant that you are 18 or older. Kihealth does not knowingly collect personal information from individuals under the age of 13. If you are between 13 and 17 years of age, you may use the Site only with the express permission and supervision of a parent or legal guardian, who agrees to these Terms on your behalf.

3. Products and Diagnostic Tests

3.1 Nature of Tests

Kihealth diagnostic tests are wellness and preventive health tools. Test results are intended to provide health insights and are not a substitute for professional medical advice, diagnosis, or treatment. Always consult a qualified healthcare provider before making any health decisions based on your results.

3.2 Laboratory Processing

All samples are analyzed in CLIA-certified, COLA-accredited laboratories using PCR-based molecular diagnostics. Kihealth partners with accredited laboratory partners including Genova Diagnostics, Florida Health, and other certified facilities. Laboratory results are final and represent the analysis performed on the sample you submitted.

3.3 Limitations

Test accuracy depends on proper sample collection as instructed. Kihealth is not responsible for inaccurate results arising from improper sample handling, degraded specimens, or failure to follow the collection instructions provided. Test kits are single-use and cannot be reused or returned once opened.

4. Orders, Pricing, and Payment

4.1 Orders

All orders placed through www.Kihealth.com are subject to acceptance by Kihealth. We reserve the right to refuse or cancel any order at our discretion, including orders that appear to be placed fraudulently or in violation of these Terms.

4.2 Pricing

Prices listed on the Site are in U.S. dollars and are subject to change without notice. We make reasonable efforts to ensure pricing accuracy, but in the event of a pricing error, we reserve the right to cancel the affected order and issue a full refund.

4.3 Payment

Payment is processed securely through our third-party payment processors. Kihealth does not store your full credit card number. We accept HSA/FSA funds for eligible purchases. All transactions are subject to the terms of your financial institution.

4.4 Taxes

You are responsible for any applicable sales taxes or other governmental assessments on your purchases. Tax is calculated based on the shipping destination and applicable laws.

5. Shipping and Delivery

Test kits are shipped to the delivery address you provide at checkout. Kihealth is not responsible for delays caused by carriers, incorrect addresses, or circumstances beyond our control. Standard delivery timelines are estimates only. International shipping may be subject to customs duties and additional delays for which Kihealth bears no responsibility.

6. Returns and Refunds

Due to the nature of diagnostic health products, Kihealth does not accept returns on opened test kits. Unopened kits in original packaging may be returned within 30 days of purchase for a full refund, less any applicable shipping fees. If you received a damaged or defective kit, please contact us at info@Kihealth.com within 7 days of receipt and we will replace it at no charge. Refunds are processed within 5–10 business days of approval.

7. User Accounts

To access your test results, you must create an account at my.Kihealth.com. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at info@Kihealth.com if you suspect any unauthorized access to your account. Kihealth is not liable for any loss or damage arising from your failure to protect your credentials.

8. HIPAA and Health Information

Kihealth is committed to protecting the privacy and security of your health information in accordance with the Health Insurance Portability and Accountability Act (HIPAA) and applicable state laws. Your test results and related health data are treated as Protected Health Information (PHI) and are handled according to our HIPAA-compliant privacy practices. By submitting a sample, you authorize Kihealth and its laboratory partners to process and communicate your results as described in our Privacy Policy. Kihealth will not sell your PHI to third parties for marketing purposes.

9. Intellectual Property

All content on the Site — including text, graphics, logos, images, test methodologies, scientific content, and software — is the exclusive property of Kihealth or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site solely for personal, non-commercial purposes.

You may not:

reproduce, distribute, or create derivative works from any Site content without our written permission;
reverse engineer, decompile, or attempt to extract source code from any software on the Site;
use Kihealth's name, logo, or trademarks without prior written consent;
scrape, crawl, or use automated tools to access or index any part of the Site.

10. Prohibited Use

You agree not to use the Site or Services for any purpose that is unlawful or prohibited by these Terms, including but not limited to:

submitting samples on behalf of another person without their informed consent;
fraudulently obtaining test kits or results;
interfering with or disrupting the integrity or performance of the Site;
uploading or transmitting viruses or malicious code;
impersonating any person or entity or misrepresenting your affiliation with any person or entity.

11. Third-Party Links and Services

The Site may contain links to third-party websites or services. These links are provided for convenience only and do not constitute an endorsement by Kihealth. We are not responsible for the content, privacy practices, or terms of any third-party site. Your interactions with third-party sites are governed by their own terms and policies.

12. Disclaimer of Warranties

THE SITE, SERVICES, AND DIAGNOSTIC TESTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. KIHEALTH DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. KIHEALTH MAKES NO WARRANTY REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT, TEST RESULTS, OR HEALTH INSIGHTS PROVIDED THROUGH THE SERVICES.

KIHEALTH'S DIAGNOSTIC TESTS ARE NOT FDA-CLEARED OR FDA-APPROVED MEDICAL DEVICES AND ARE NOT INTENDED TO DIAGNOSE, TREAT, CURE, OR PREVENT ANY DISEASE. RESULTS SHOULD NOT BE USED AS THE SOLE BASIS FOR ANY MEDICAL DECISION.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KIHEALTH, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, PERSONAL INJURY, OR PROPERTY DAMAGE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR SERVICES, EVEN IF KIHEALTH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. KIHEALTH'S AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO KIHEALTH IN THE 12 MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless Kihealth and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Site or Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your infringement of any third-party rights.

15. Dispute Resolution and Arbitration

15.1 Informal Resolution

Before initiating any formal dispute, you agree to contact Kihealth at info@Kihealth.com and attempt to resolve the dispute informally. Kihealth will attempt to resolve any complaint within 30 days of receipt.

15.2 Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Services — including questions of arbitrability — shall be resolved by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, conducted by a single neutral arbitrator. Arbitration shall take place in St. Johns County, Florida, or via video conference at either party’s election. The arbitrator’s decision shall be final and may be entered as a judgment in any court of competent jurisdiction.

15.3 Class Action Waiver

ALL CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. YOU EXPRESSLY WAIVE ANY RIGHT TO FILE A CLASS ACTION OR SEEK RELIEF ON A CLASS BASIS.

15.4 Exceptions

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration. Claims for infringement of intellectual property rights may also be brought in court.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Subject to the arbitration provisions above, you consent to the exclusive jurisdiction of the state and federal courts located in St. Johns County, Florida for any matter not subject to arbitration.

17. Changes to These Terms

Kihealth reserves the right to update or modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a revised "Last Updated" date. Your continued use of the Site after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

18. Termination

Kihealth reserves the right to suspend or terminate your account or access to the Site at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, all licenses granted to you under these Terms will immediately terminate. Provisions that by their nature should survive termination — including intellectual property rights, disclaimers, limitation of liability, and dispute resolution — shall survive.

19. General Provisions

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Kihealth with respect to your use of the Site and Services. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Kihealth’s failure to enforce any right or provision shall not be deemed a waiver of such right or provision. You may not assign your rights under these Terms without our prior written consent. Kihealth may assign its rights without restriction.
